Working with Hyperlink Digital - Agreement Information

Before deciding to work with us, it’s probably good to understand what’s expected of both parties. Sure, it’s all a little wordy, but it’s all important, too! 

An official contract will be forwarded to you before any work is started, but in the interest of keeping you informed, here’s everything you’ll need to know when signing up with us. 

Communication

We prefer email contact as it provides written documentation of requests from both parties. We will respond to your emails within 48 hours, depending on the urgency of your message. If the matter is extremely urgent, you can give us a buzz and we’ll do everything in our power to respond within the hour. Whilst it may not always be possible to respond this quickly, we’ll definitely endeavour to do so.

If phone or face-to-face meetings are more your thing, let us know and we can organise a day and time. Just be aware that face-to-face meetings at your location do attract call-out fees.

Standards

We pride ourselves in our attention to detail. Our promise to you is that we’ll deliver work of a high standard and in a timely fashion. During the development stage, we will keep you informed as to the progress of work, and when to expect tasks to be completed. In the rare case that a deadline may not be met, we will keep an open dialogue so you are aware of what is going on.

Design

The template you select at the start of the project will be modified to suit your business. This includes modifications to images, fonts, headings, information and colours. Our design discretion will be used if the format of content supplied does not fit the layout constraints of the selected template. In this case, either the template, or the content you supply, will be modified to maintain our high standard of design.

Depending on the extent of these template modifications, a static visual may or may not be used to indicate our creative direction (in other words, we won’t waste time by mocking up very minor changes to the template). You’ll have plenty of opportunities to review our work and provide feedback. We’ll either email, share a Google Drive folder, or give you access to a development site and we’ll have regular, possibly daily contact by either email or phone.

Text content

Any text you require to be added to the website must be supplied as a text-based format (email, word document, .txt file or similar). Whilst we do take care to ensure spelling and grammar is correct, we can’t take responsibility for any incorrect spelling/grammar or information, if it appears incorrect on the source material.

In the event that you can only supply photographs or scans of hand-written notes, you agree to pay for the extra time required to type up these notes.

Graphics and photographs

You agree to supply graphic files in an acceptable high resolution digital format. In the interest in maintaining a high standard of work, we do reserve the right to exclude images that do not meet quality expectations. In the case of logos, a re-draw fee may be applicable if the quality is deemed too low.

HTML, CSS and JavaScript

We deliver pages developed from HTML markup, CSS stylesheets for styling and unobtrusive JavaScript for behaviours.

Browser testing

Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.

We test our work in current versions of major desktop browsers including Google Chrome, Microsoft Edge, and Mozilla Firefox. We won’t test in other older browsers unless we agreed separately. If you need an enhanced design for an older browser, we can provide a separate estimate for that.

Mobile browser testing

Testing using popular smaller screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our designs in:

iOS: Safari and Google Chrome
Android: Google Chrome

We won’t test in Opera Mini/Mobile, specific Android devices, or other mobile browsers unless we agreed separately. If you need us to test using these, we can provide a separate estimate.

Search engine optimisation (SEO)

We will provide onsite SEO in the form of:

  • Optimised page titles and descriptions
  • Optimised header tags
  • Optimised internal links
  • ALT text for images

Whilst onsite SEO does make your website search engine friendly, we don’t guarantee significant improvements to your website’s search engine ranking.

Changes and revisions

We don’t want to limit your ability to change your mind. The price at the beginning of this contract is based on the number of weeks that we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate estimate for those additional weeks.

Ongoing website maintenance and hosting

Ongoing website maintenance and hosting fees are to be pre-paid 12 months in advance, at a rate of $30/month ($360/year). Once you have paid these fees, we agree to provide:

  • An active account for domain name and website hosting
  • Continuous updates to WordPress plugins and core files as necessary
  • Daily backups stored on your server. Each backup will be stored for 3 days.
  • Monthly backups stored on our personal, secure hard-drives. Each Backup will be stored for 30 days.
  • Up to 4 ‘basic updates’ per month. Updates can be saved and rolled over to any month within the 12-month period. Allocated updates may also be used early, provided they falls within the pre-paid period. If you require additional basic updates on top of the allocated amount, this can be quoted and invoiced separately.

The following updates are accepted as ‘basic updates’:

  • Replacing a single, existing image with a new one
  • Adding a new, single image to an existing page/gallery
  • Editing existing text that appears on a single page. (There is no limit to the amount of text, as long as it appears on the one page.)
  • Adding new text to an existing page. (There is no limit to the amount of text, as long as it appears on the one page.)

The following updates are not included as a ‘basic update’, and will be quoted and invoiced separately:

  • Adding new pages to the website
  • Creating advertising banners to include on the website or social media accounts
  • Adding custom slideshow slides
  • The creation of a new online contact form
  • The creation of a new photo gallery
  • Any other work that requires custom graphics to be created

Technical support

Our technical support only covers the website itself, eg. broken links, missing images, display/sizing issues etc. As we are not a website hosting company, we don’t offer support for website hosting (including server down-time), email or other services relating to hosting.

At the start of your project, you will be given all the necessary contacts for hosting and email-related technical support. It is up to you to liaise with the hosting company to resolve email and hosting-related issues.

Invoices

Invoices are issued electronically. Design fee payments are due 21 days from the date of issue, with late payment subject to fees of 5% per month. Accepted payment methods include Bank Transfers or Credit Cards. Credit card transaction may incur a processing fee. All prices are quoted in Australian Dollars, and international payments will be made at the equivalent conversion rate at the date the transfer is made.

Payment Schedule

Before commencing any work, we require a minimum $500 deposit to cover initial work and web hosting fees. Once payment of this has been received, your website will enter the development stage, where you’ll be able to view progress at any point with a username and password that we’ll supply.

Once your website has been approved by your good self, we will launch it to the world-wide web. At this point, you will have 21 days to pay any outstanding fees.

Late Payments

If outstanding fees have not been paid within 21 days after the launch date, the website will be reverted back to development stage and will not be available for the public to view.

The website will remain the in the development stage for a further 30 days. If payment has not been received after this additional 30 days, the website will be terminated. A backup of the website will be kept for 3 months from this point. If you wish to restore this backup, a $299 restoration fee will be required.

Ongoing Maintenance Fees

Maintenance fees are charged annually at $360/year. The billing cycle commences when we receive your initial deposit. Invoices will be issued 30 days prior to the end of the 12-month period. If we do not receive payment 7 days after the renewal date, the website will be reverted back to development stage and will not be available for the public to view.

The website will remain the in the development stage for a further 30 days. If payment has not been received after this additional 30 days, the website will be terminated. A backup of the website will be kept for 3 months from this point. If you wish to restore this backup, a $299 restoration fee will be required.

Cancelling Services

If, for any reason, you decide that Hyperlink Digital isn’t right for you, or you simply don’t need a website anymore, you are welcome to cancel our services at any point. Unfortunately, any fees already paid cannot be refunded (unless we fail to deliver our services as promised). Once your request has been processed, your hosting and domain accounts will be cancelled and website removed.

Legal Stuff

Intellectual Property Rights
It will be your responsibility to make sure that all elements of text, images or other artwork you provide are either owned by your good selves, or that you’ve permission to use them. When you provide text, images or other artwork to us, you agree to protect us from any claim by a third party that we’re using their intellectual property.

In turn, we guarantee that all elements of the work we deliver to you are either owned by us or we’ve obtained permission to provide them to you. When we provide text, images or other artwork to you, we agree to protect you from any claim by a third party that you’re using their intellectual property. Provided you’ve paid for the work and that this contract hasn’t been terminated, we’ll assign all intellectual property rights to you as follows:

You’ll own the website we design for you plus the visual elements that we create for it. A copy of your source files will be stored on the server, should you need them in the future. You own all intellectual property rights of text, images, site specification and data you provided, unless someone else owns them.

We’ll own any intellectual property rights we’ve developed prior to, or developed separately from this project and not paid for by you. We’ll own the unique combination of these elements that constitutes a complete design and we’ll license its use to you, exclusively and in perpetuity for this project only, unless we agree otherwise.

Displaying our work
We love to show off our work, so we reserve the right to display all aspects of our creative work, including sketches, work-in-progress designs and the completed project on our portfolio and in articles on websites, in magazine articles and in books.
